Zee Entertainment Enterprises Ltd (ZEEL) has allotted 20,94,47,805 fully convertible warrants to Sunbright Mauritius Investments Ltd, a promoter-group entity, at Rs 126 per warrant. The allotment was completed on August 21, 2026, after receiving shareholder and stock exchange approvals and following a favourable ruling from the Securities Appellate Tribunal (SAT).

The warrants are convertible into one ZEEL equity share with a face value of Rs 1. Sunbright has paid 25% of the issue price, or Rs 31.50 per warrant, amounting to nearly Rs 659.76 crore. The remaining Rs 94.50 per warrant must be paid within 18 months, with the deadline falling on February 21, 2028.

ZEEL's paid-up share capital will remain unchanged until the warrants are converted into equity shares. If all the warrants are exercised, Sunbright's holding could rise to approximately 17.90% on a fully diluted basis.
