Sebi Fines Varanium Cloud ₹33.08 Crore, Bars Promoter For 7 Years

The Securities and Exchange Board of India (Sebi) has imposed fines totaling ₹33.08 crore on Varanium Cloud, its promoter Harshawardhan Sabale, and seven others. The fines are for misrepresenting the company's financials and diverting initial public offering (IPO) proceeds.

Sebi's action against Varanium Cloud includes barring the company and Sabale from the securities markets for seven years. Sabale is also restrained from being associated with any listed company or a Sebi-registered intermediary as a director for 7 years.

In its final order, Sebi directed Varanium Cloud to bring back ₹62.51 crore, which has been found to be diverted, along with 12 percent interest from the respective dates of debit transactions. Sebi also directed Sabale to disgorge unlawful gains worth ₹128.77 crore, along with 12 percent interest per annum from the dates of sale of the shares till the date of deposit.

The regulator found that Varanium Cloud, Sabale, and others were involved in the misrepresentation of contents in the prospectus and non-disclosure of pending litigation in the letter of offer. This led to the siphoning-off of public issue proceeds to the tune of ₹18.98 crore from IPO proceeds and ₹43.53 crore from rights issue proceeds.

Sebi noted that Sabale had traded in the shares of Varanium Cloud and made unlawful gains to the tune of ₹128.77 crore. Others, including Athos Capital Advisors and Raj Jagtani, also made significant gains and received monies from Varanium Cloud and Sabale.

The regulator observed that Sabale exercised complete control over the movement of IPO and rights issue proceeds and approved transfer of funds. A total of ₹62.51 crore was diverted from the proceeds of IPO and rights issue to related parties and other entities, including ₹32.73 crore to Sabale.
